Florida Annual Report: Filing Deadline May 1st

All business entities are required to file an annual report with the State of Florida by May 1, 2013. Failure to file an annual report by the deadline results in a $400 late fee with no provision or waiver. In addition, your business entity faces administrative dissolution or revocation.

Annual reports must be filed online with the Division of Corporations at www.sunbiz.org. When filing the annual report, you will also be allowed to update members, officers, directors, managers, managing members, addresses, registered agents, e-mail addresses and employer identification numbers (EIN).

Filing fees are as follows:

$500 for a limited partnership or a limited liability partnership
$150 for a profit corporation
$138.75 for a limited liability company
$61.25 for a not-for-profit organization
